Terms of Use for The Quad

Effective Date: June 15, 2026

1. Overview

1.1. Acceptance.

By using The Quad, you agree to the Terms of Use (the "Agreement") set forth herein and those incorporated herein by reference. If you do not agree with these terms, do not use the application.

1.2. Eligibility.

The Quad is designed for users aged 13 and older. Users under 18 should use the App with the supervision of a parent or guardian. The App does not request or verify age at sign-up. Users affirm by using the App that they meet the minimum age requirement. If we learn a user is under 13, we may suspend or terminate access.

1.3. Scope.

These Terms of Use are intended for a U.S.-focused launch of the App. If the App is subsequently offered in jurisdictions outside the United States, additional terms may be implemented to comply with local regulations.

1.4. Definitions.

As used in this Agreement:

  1. App means The Quad mobile application, including any related mobile features, content, functionality, services, and updates provided by SQ/HL Digital Strategy.
  2. User means an individual or business that accesses or uses the App.
  3. Signing up means the process of accessing or using the App, agreeing to the applicable Terms of Use, or beginning to provide information as prompted by the App. The App does not currently require a user account, username, password, or login credentials.
  4. Sign Up Information means information a User provides through the App, including quiz responses, search entries, feedback, or other information submitted through App features.
  5. Premium Upgrade means any paid in-app feature, upgrade, or similar digital functionality offered through the App, including the non-consumable upgrade for unlimited quizzes and additional search functionality.
  6. Purchase Information means information processed in connection with a Premium Upgrade, including purchase status, receipt information, or platform-level purchase records made available by Apple, Google, or another applicable platform. Payment card information is processed by the applicable platform provider and is not collected or stored by SQ/HL Digital Strategy through the App.
  7. App Content means all text, graphics, images, data, recommendations, school information, user interface materials, software, links, communications, and other information or materials available through the App.
  8. Third-Party Services means third-party platforms, APIs, vendors, service providers, data sources, analytics tools, payment processors, hosting providers, or similar services used to operate, improve, or support the App.
  9. Privacy Policy means the Privacy Policy governing data collection and usage practices of the App, as amended from time to time.
  10. Terms of Use means this Agreement, as amended from time to time.

2. In-App Purchases and Premium Features

2.1. Pricing.

The Quad currently offers a one-time non-consumable upgrade at a price of $4.99 (USD) for unlimited quizzes and additional search features. This price is subject to change. Pricing and purchase experience are managed by Apple, Google, or the applicable platform provider, and may vary based on taxes, currency, or platform-specific terms.

2.2. Purchases.

All in-app purchases are processed and governed by the applicable platform provider (e.g., Apple App Store, Google Play Store), including billing, payment processing, refunds, cancellations, and dispute resolution. SQ/HL Digital Strategy does not directly process payments or collect payment card information through the App. By making an in-app purchase, you agree to be bound by the applicable platform provider's payment terms, return and refund policies, and rules for in-app purchases.

2.3. In-App Purchase Terms.

Premium features are sold on an "as-is" basis and are subject to change, modification, or discontinuation with reasonable notice. SQ/HL Digital Strategy does not guarantee perpetual availability of any specific feature. SQ/HL Digital Strategy is not responsible for processing refunds, cancellations, or billing disputes for in-app purchases that are handled by Apple, Google, or another platform provider. If you need a refund or have a billing issue, please contact the applicable platform provider directly.

3. Description of Services and App Content

3.1. Description of the App.

The Quad is an AI-assisted college recommendation tool designed to help users explore and discover schools that may fit their preferences, based on user-entered data processed through automated systems, including artificial intelligence. The App includes a 21-question quiz, AI-driven college recommendations, school information, campus imagery, and optional search and profile features. The App currently does not require an account and does not collect your name, email, phone number, date of birth, username, or password to use the quiz or recommendation features.

3.2. Not an Official Source.

The App is not a school counselor, educational authority, or official source of admissions information. The App is an informational tool. Recommendations and school data, including statistics, campus imagery, acceptance rates, costs, and outcomes data, are based on publicly available information and AI processing. They may not be accurate, complete, or current. Users should verify information directly with schools, official sources, or qualified professionals before making decisions.

3.3. App Content.

App Content is provided for informational purposes only. SQ/HL Digital Strategy does not guarantee accuracy, completeness, or currency of App Content. App Content may include AI-generated text, third-party data, publicly available institutional statistics, and user-submitted information, and should not be relied upon as the sole basis for educational decisions.

3.4. AI-Generated Content.

The App relies on third-party AI services (including Anthropic's Claude API) to generate recommendations and summaries. AI-generated content may contain errors, inaccuracies, outdated information, or content that does not reflect the views of SQ/HL Digital Strategy. AI-generated results are not guaranteed to be accurate, complete, unbiased, or representative of any particular school or program. SQ/HL Digital Strategy does not guarantee the performance, reliability, policies, or availability of any third-party AI service. Users should verify AI-generated information independently.

3.5. Third-Party Data.

School statistics, imagery, and related data may be sourced from third-party providers, including the U.S. Department of Education College Scorecard, Google Places, and other publicly available sources. Third-party data may be inaccurate, outdated, or incomplete. SQ/HL Digital Strategy does not guarantee the accuracy or availability of third-party data and is not responsible for the content, terms, or policies of third-party data providers.

3.6. Links to Third Parties.

The App may contain links to third-party websites or services. SQ/HL Digital Strategy does not endorse, control, or assume responsibility for the content, privacy practices, terms, availability, or accuracy of third-party websites or services. Visiting third-party links is at your own risk and subject to that third party's terms and policies.

3.7. Availability.

SQ/HL Digital Strategy does not guarantee uninterrupted, error-free, or secure operation of the App. The App, including any features, content, or Third-Party Services, may be subject to downtime, interruption, delay, change, or discontinuation, whether due to maintenance, updates, technical issues, provider outages, or other reasons. SQ/HL Digital Strategy reserves the right to modify, suspend, limit, or discontinue the App or any of its features at any time, with or without notice, to the extent permitted by law.

4. User Conduct

4.1. Acceptable Use.

You agree not to use the App for any unlawful, deceptive, or harmful purpose or in any manner that violates this Agreement. In using the App, you further agree not to:

  1. Provide false, misleading, or inaccurate information to the App;
  2. Impersonate another person, entity, or organization through the App;
  3. Use the App for any commercial purpose, including the resale of recommendations or App Content, without express written consent from SQ/HL Digital Strategy;
  4. Interfere with or disrupt the App, its servers, networks, infrastructure, or any connected systems, whether through automated means, excessive requests, denial-of-service activity, or otherwise;
  5. Reverse engineer, decompile, disassemble, modify, or attempt to derive the source code of the App or any portion thereof;
  6. Circumvent or attempt to circumvent any access controls, technical protections, security features, usage restrictions, or purchase/payment mechanisms of the App, including free-tier limits, premium gating, authentication controls, or platform billing systems;
  7. Use the App to scrape, data mine, harvest, or extract information for external use;
  8. Introduce any virus, malware, spyware, or other harmful code to the App;
  9. Submit harmful, abusive, discriminatory, defamatory, or illegal content through any App feature, including feedback forms;
  10. Use the App in any manner that violates applicable laws, regulations, or platform rules, including app-store rules and third-party terms.

4.2. Reporting Violations.

If you become aware of any violation of this Agreement or any misuse of the App, you may report it to SQ/HL Digital Strategy using the contact information provided in this Agreement.

4.3. Consequences.

SQ/HL Digital Strategy reserves the right, in its sole discretion, to limit, suspend, restrict, or terminate any User's access to the App for violation of this Agreement or any conduct that SQ/HL Digital Strategy determines is harmful, disruptive, or otherwise inconsistent with the intended use of the App.

5. Intellectual Property

5.1. App Content Ownership.

All App Content, including but not limited to text, graphics, images, recommendations, user interface design, software, branding, and trademarks, is the property of SQ/HL Digital Strategy and/or its licensors and is protected by applicable intellectual property laws. SQ/HL Digital Strategy is the owner or authorized licensee of all intellectual property in the App. Nothing in this Agreement grants the User any right, title, or interest in the App or App Content, except a limited, non-exclusive, non-transferable license to use the App in accordance with this Agreement and any applicable platform terms.

5.2. User-Submitted Content.

By submitting feedback, ratings, or other content through the App, you grant SQ/HL Digital Strategy a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, publish, display, distribute, and create derivative works from such content for any purpose related to the operation, improvement, marketing, or promotion of the App or SQ/HL Digital Strategy's business. This license survives termination of this Agreement and deletion of the App.

5.3. Third-Party Content.

Certain App Content, including school data, imagery, and AI-generated text, may be sourced from or generated by third parties. SQ/HL Digital Strategy respects third-party intellectual property rights. Rights in third-party content belong to their respective owners. Use of third-party content through the App is subject to applicable third-party terms, licenses, and usage policies. SQ/HL Digital Strategy does not claim ownership of third-party content displayed in the App.

5.4. Copyright Claims.

If you believe that your copyrighted work has been used or displayed in the App in a manner that constitutes copyright infringement, you may notify SQ/HL Digital Strategy using the contact information provided in this Agreement. Please include: (a) a description of the copyrighted work; (b) a description of where the material is located in the App; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; and (e) a statement under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner.

6. Disclaimers

6.1. "As Is" Basis.

THE APP AND ALL APP CONTENT, RECOMMENDATIONS, FEATURES, DATA, AI-GENERATED OUTPUT, AND THIRD-PARTY CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR AVAILABILITY. SQ/HL DIGITAL STRATEGY MAKES NO WARRANTY THAT THE APP WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

6.2. AI and Third-Party Disclaimers.

SQ/HL DIGITAL STRATEGY DOES NOT GUARANTEE THE ACCURACY, RELIABILITY, COMPLETENESS, OR QUALITY OF ANY AI-GENERATED CONTENT OR THIRD-PARTY DATA PRESENTED IN THE APP. AI-GENERATED RECOMMENDATIONS ARE AUTOMATED AND MAY CONTAIN ERRORS, OMISSIONS, OUTDATED INFORMATION, OR BIASES. THE APP IS NOT A SUBSTITUTE FOR PROFESSIONAL EDUCATIONAL GUIDANCE. USERS SHOULD INDEPENDENTLY VERIFY ALL INFORMATION BEFORE MAKING EDUCATIONAL DECISIONS.

7. Limitation of Liability

7.1. Limitation.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SQ/HL DIGITAL STRATEGY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE APP, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF DATA, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, OR ANY DECISION MADE IN RELIANCE ON APP CONTENT OR RECOMMENDATIONS, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF SQ/HL DIGITAL STRATEGY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2. Maximum Aggregate Liability.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, SQ/HL DIGITAL STRATEGY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO SQ/HL DIGITAL STRATEGY THROUGH THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIFTY DOLLARS ($50.00 USD).

8. Indemnification

8.1. User Indemnification.

You agree to indemnify, defend, and hold harmless SQ/HL Digital Strategy, its affiliates, officers, directors, employees, agents, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the App; (b) your violation of this Agreement; (c) your violation of any applicable law, regulation, or third-party right; or (d) any content you submit through the App.

9. Dispute Resolution

9.1. Governing Law.

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws provisions.

9.2. Dispute Resolution Process.

Any claim or dispute arising out of or relating to this Agreement or the App shall be resolved as follows:

  1. Informal Resolution. You agree to first attempt to resolve any dispute informally by contacting SQ/HL Digital Strategy at the contact information below. SQ/HL Digital Strategy and the User shall make good-faith efforts to resolve any dispute within thirty (30) calendar days of the initial written notice.
  2. Binding Arbitration. If the dispute is not resolved informally within thirty (30) calendar days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. Arbitration shall be conducted in Allegheny County, Pennsylvania, or at another mutually agreed location, and may be conducted by videoconference if permitted under the applicable arbitration rules. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
  3. Class Action and Jury Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL CLAIMS AND DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
  4. Exceptions. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.
  5. Costs. Each party shall bear its own costs and attorneys' fees in connection with any dispute resolution proceeding, except as otherwise required by applicable law or arbitration rules. Filing fees and arbitrator compensation shall be governed by the applicable AAA rules.

10. General Terms

10.1. Amendments.

SQ/HL Digital Strategy reserves the right to update, revise, or modify this Agreement from time to time. Revised terms will be posted through the App or otherwise made available through an authorized SQ/HL Digital Strategy channel. Continued use of the App after posting of revised terms constitutes acceptance of the revised terms. We encourage you to review this Agreement periodically.

10.2. Termination.

SQ/HL Digital Strategy may limit, suspend, restrict, or terminate your access to the App at any time, with or without cause and with or without notice, in its sole discretion. You may stop using the App and delete it at any time. Provisions of this Agreement that by their nature should survive termination, including but not limited to Sections 5 (Intellectual Property), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), and 9 (Dispute Resolution), shall survive any termination or expiration of this Agreement.

10.3. Severability.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.4. Entire Agreement.

This Agreement, together with the Privacy Policy and any other terms referenced or incorporated herein, constitutes the entire agreement between you and SQ/HL Digital Strategy regarding your use of the App.

10.5. Sole Statement.

This Agreement as posted in or for the App is the sole statement of SQ/HL Digital Strategy's terms of use with respect to the App, and no summary, modification, restatement, or other version of this Agreement, in any form, is valid unless we post a new or revised agreement to the App or otherwise make it available through an authorized SQ/HL Digital Strategy channel.
